Modern Slavery Policy

Protecting those who can’t protect themselves

Modern slavery is a crime and a violation of fundamental human rights. It takes various forms, such as slavery, servitude, forced and compulsory labour and human trafficking, all of which have in common the deprivation of a person’s liberty by another in order to exploit them for personal or commercial gain.

CBSNZ Holdings Ltd and its subsidiaries (the Company) is committed to limiting the risk of modern slavery occurring within its own business, infiltrating its supply chains or through any other business relationship.

The Company expects all who have, or seek to have, a business relationship with the Company to familiarise themselves with this policy and to act in a way that is consistent with its core values.

Policy Statement

We are committed to acting ethically and with integrity in our business dealings and relationships and are committed to preventing modern slavery in our own business and to helping prevent modern slavery in our supply chains.

We are also committed to ensuring there is transparency in our own business and in our approach to tackling modern slavery.  In line with modern slavery legislation in the countries we operated in, we are outlining the steps we take to tackle modern slavery.  We expect the same high standards from all our employees and suppliers.

This policy applies to all persons working for us or on our behalf in any capacity, including employees at all levels, directors, contractors, consultants and any other third-party representative.

Definitions of Criminal Activities – All forms of criminal activities as defined in modern slavery legislation, are prohibited at the Company. These include:

  1. Slavery: where ownership is exercised over an individual

  2. Servitude: involves the obligation to provide service imposed by coercion

  3. Forced and compulsory labour: all work or service, not voluntarily performed, which is obtained from an individual under the threat of force or penalty

  4. Human trafficking: involves arranging or facilitating the travel of another with a view to exploiting them

  5. Child labour: involves the employment of children that is exploitative or is likely to be hazardous to or interfere with a child’s education, health (including mental health), physical wellbeing or social development

Responsibility

The Directors have overall responsibility for ensuring this policy complies with the Company’s legal and ethical obligations and that all those under our control comply with it.

The Management team have primary and day-to-day responsibility for implementing this policy, monitoring its use and effectiveness, dealing with any queries regarding the policy and auditing internal procedures.

Management at all levels are responsible for ensuring those reporting to them understand and comply with this policy.

Compliance

The prevention, detection and reporting of modern slavery in any part of our business or supply chains is the responsibility of all those working for us or under our control. Any activity that might lead to, or suggest, a breach of this policy must be avoided.

Where appropriate, the Company will engage directly with suppliers in respect of this policy in order to gain a proper understanding of the measures they have in place to ensure that modern slavery is not occurring within their own businesses.

Employees must notify a manager (or a main point of contact, if a supplier) as soon as possible if it is believed or suspected that a breach of this policy has occurred or may occur in the future.

All parties are encouraged to raise concerns about any issue or suspicion of modern slavery in any parts of our business, or supply chains or any supplier tier, at the earliest possible stage.

If unsure about whether a particular act, the treatment of workers more generally, or their working conditions within any tier of our supply chain constitute any of the various forms of modern slavery, employees should raise this with a manager (or your main point of contact, if a supplier).

The Company aims to encourage openness and will support anyone who raises genuine concerns in good faith under this policy, even if they turn out to be mistaken. The Company is committed to ensuring no one suffers any detrimental treatment by the Company as a result of reporting in good faith their suspicion that modern slavery of whatever form is or may be taking place in any part of our own business or in any of our supply chains. Detrimental treatment includes dismissal, disciplinary action, threats or other unfavourable treatment connected with raising a concern.

If any parties believe that they have suffered any such treatment, they should inform the Chief Executive Officer immediately. If the matter is not remedied, employees should raise it formally through the Company’s grievance procedure.

Communication and Awareness

Guidance on this policy forms part of the induction process for all employees and is included in our Standard Policy Manual and provided otherwise as necessary.

We are committed to continuous improvement so that our processes and interventions remain effective in preventing and remediating modern slavery.

Breaches of this Policy

Any employee who breaches this policy will face disciplinary action, which could result in dismissal for misconduct or gross misconduct.

We may terminate our relationship with other individuals and organisations working for us or on our behalf (including suppliers) if they breach this policy.

Global Privacy Policy

Keeping everyone’s personal information safe

Goal

Costing and Business Solutions Group and its subsidiaries (CBS) respects your right to privacy. This policy summarizes what personal information we may collect, how we may use this information, and other important topics relating to your privacy and data protection. 

It is CBS policy to comply with all applicable privacy and data protection laws. This commitment reflects the value we place on earning and keeping the trust of our customers, business partners and others who share their personal information with us. 

This Policy applies to all Internet sites and applications operated by or on behalf of CBS. It also applies to personal information CBS may otherwise collect: through our products and services; when you interact with us by other means, for example, in person, by telephone, at a trade show or a training session; and from our customers, distributors, suppliers, vendors, and other business partners (collectively “Business Partners”). 

However, different CBS Internet Sites, Apps, products, and services have different purposes and features. If additional or different disclosures are required for a specific CBS Internet Site, App, product, or service, then we provide those disclosures separately on, or with, the relevant Internet Site, App, product, or service. Each such specific privacy disclosure, policy, or statement (“Specific Privacy Statement”) supplements and amends this policy. 

 

1. General Principles 

To the extent required by applicable law, whenever CBS collects personal information, we will: 

  • collect your personal information only for specified and legitimate purposes. The information we collect will be relevant, adequate and not excessive for the purposes for which it is collected; 

  • process your personal information in a manner consistent with the purposes for which it was originally collected or to which you have subsequently consented; 

  • take commercially reasonable steps to ensure that your personal information is reliable for its intended use, accurate, complete, and, where necessary, kept up-to-date; 

  • not use your personal information for direct marketing purposes without giving you an opportunity to “opt-out”; and 

  • take appropriate measures, by contract or otherwise, to provide adequate protection for personal information that is disclosed to a third party or transferred to another country, including internal transfers.

 

2. Personal Information CBS Collects 

CBS collects the following types of personal information:

Information You Provide 

CBS collects personal information you provide us, which may include:  

  • contact information, such as your name, company name, job title, address, e-mail address, and phone number;  

  • additional information about you to help us get to know you better, such as your gender, age, date of birth, nationality, professional associations and registration numbers, information about how you use our products, and demographic information;  

  • comments, questions, requests and orders you may make;  

  • financial information needed to process payments if you make purchases, such as credit card or account information or tax identification number;  

  • log-in information; 

  • information about your preferences, such as your preferred methods of communication and product types in which you are interested. 

Information Automatically Gathered from Your Device 

CBS may collect technical information about your device, such as device type, browser type, IP address, operating system, and device identifier. CBS collects this information automatically from your device and web browser through cookies and similar technologies. 

CBS may collect technical data about your usage of CBS Internet Sites and Apps, such as content viewed or downloaded, features used, links clicked, and dates and times of interactions. CBS collects this information using cookies and similar technologies. 

CBS may collect location information, including precise real-time location information from your device and imprecise location information derived from, for example, your IP address or postal code. CBS Apps will NOT access precise-real time location information from your device unless you grant permission to do so. 

Information from Business Partners and other Third Parties

CBS collects personal information through our Business Partners. This information may include contact information, such as name, company name, job title, address, e-mail address, and phone number. 

CBS may also obtain personal information from other third-party sources, including publicly and commercially available sources. We may combine the information we receive from our Business Partners and other third-party sources with information that we collect from you or your device, as described above. 

You have choices about the personal information you provide CBS. You may choose not to provide information that we request, but if you do so, we may not be able to provide you a relevant service or a particular feature for a CBS Internet Site, App, or product. 

 

3. How CBS Uses Your Personal Information 

CBS may use your personal information to: 

Develop and manage our relationships with you and our Business Partners. This may include: delivering services or carrying out transactions that you or our Business Partners have requested; providing information about CBS products, services, and transactions, that may be of interest to you; providing you and our Business Partners a more consistent experience in interacting with CBS, including by learning more about you and how you use and interact with CBS Internet Sites, Apps, products, and services; and planning, managing, and performing under our contractual relationships with our Business Partners. 

Communicate with you or your company. This may include: informing you of CBS products, services, and promotional activities that may be of interest to you or your company; providing information about relevant CBS products, services, and transactions, including, for example, pricing information, technical data, or information about product or service improvements; responding to questions or inquiries that you make, including customer service requests; and inviting you to participate in, or informing you of the results of, customer satisfaction or market research surveys. 

Provide and improve our Internet Sites, Apps, products, and services. This may include: making them more compatible with your technology, or otherwise making them easier to use; maintaining the security of and otherwise protecting them; and developing new CBS Internet Sites, Apps, products and services. 

Address legal issues. This may include: complying with our obligations to retain certain business records for minimum retention periods; establishing, exercising, or defending legal claims;  complying with laws, regulations, court orders, or other legal process; detecting, preventing, and responding to fraud, intellectual property infringement, violation of our contracts or agreements, violations of law, or other misuse of CBS Internet Sites, Apps, products or services; and protecting CBS’s rights or property, or yours or others’ health, safety, welfare, rights, or property. 

CBS may also use your personal information for other uses consistent with the context in which the information was collected or with your consent. 

CBS may anonymize or aggregate any of the information we collect and use it for any purpose, including for research and product-development purposes. Such information will not identify you individually. 

 

4. When CBS May Share Your Personal Information 

CBS will not disclose your personal information except as described here: 

CBS may share your personal information with other CBS entities, including those in different countries. When we do so, these other CBS entities will use your information in a manner consistent with this Policy, any applicable Specific Privacy Statements, and all applicable privacy and data protection laws. 

  • CBS may also share your personal information with third parties we hire to perform support services for us. These third parties are required to use the personal information we share with them only to perform services on our behalf and to treat your personal information in compliance with all applicable privacy and data protection laws. 

  • In some cases, CBS may share your personal information with third parties who partner with us to provide products and services to our customers, such as distributors. If so, we will require our Business Partners to use that information in a manner consistent with this Policy, any applicable Specific Privacy Statements, and all applicable privacy and data protection laws. 

  • CBS may share your personal information with third parties when we have a good faith belief that disclosure is necessary: to comply with a law, regulation, court order, or other legal process; to detect, prevent, and respond to fraud, intellectual property infringement, violation of our contracts or agreements, violation of law, or other misuse of CBS Internet Sites, Apps, products or services; to protect CBS rights or property or yours or others’ health, safety, welfare, rights, or property; or under similar circumstances. If such an event occurs, we will take appropriate steps to protect your personal information. 

  • CBS may share your personal information with third parties in connection with the sale, purchase, merger, reorganization, liquidation or dissolution of CBS or a CBS business unit, or under similar circumstances. If such an event occurs, we will take appropriate steps to protect your personal information. 

  • CBS may share your information with your permission or at your request 

CBS may share anonymized or aggregated information internally and with third parties for any purpose. Such information will not identify you individually.

 

5. Security of Your Personal Information 

Your personal information will generally be stored in CBS databases or databases maintained by our service providers. CBS takes appropriate measures, by contract or otherwise, to provide adequate protection for personal information that is disclosed to a third party or transferred to another country, including transfers within CBS. 

CBS maintains reasonable safeguards to protect the confidentiality, security and integrity of your personal information. Although we use security measures to help protect your personal information against unauthorized disclosure, misuse, or alteration, as is the case with all computer networks linked to the Internet, we cannot guarantee the security of information provided over the Internet and will not be responsible for breaches of security beyond our reasonable control.

 

6. Links to Third Party Internet Sites and Plugins 

CBS Internet Sites and Apps may contain links to websites or mobile apps that are not operated by CBS and plugins from social media platforms and other third parties. An example of a social media plugin is the Facebook “Like” button. We provide these links and plugins as a service and do not imply any endorsement of the activities or content of the related websites, apps, or social media platforms, nor any association with their operators. To learn about the information collected by these third-party websites, apps, and plugins, please visit their privacy policies. We encourage you to review the privacy policies for the websites, apps, and social media platforms you visit before using them or providing personal information. 

 

7. Access to Your Personal Information 

You may review, correct and update personal information you provide to us by using the feedback mechanisms provided at a particular CBS Internet Site or App, or by emailing compliance@cbsnz.com

 

8. Retention of Your Personal Information 

How long we keep your personal information will vary and will depend on the purpose and use of information collected. There are legal requirements that we keep some types of data for specific periods. Otherwise, we will retain it for no longer than is necessary for the purposes for which the data was collected.

 

9. Children

Most CBS Internet Sites and Apps are not intended for children under 13 years of age. CBS will not knowingly solicit or collect personal information from or about children under 13, or the relevant minimum age under applicable local legal requirements, except as permitted under applicable law.
